1. Introduction
Welcome to Hampshire Jeffreys ("we", "us", "our", "Hampshire Jeffreys"). These Terms of Service ("Terms") govern your use of the Hampshire Jeffreys website at www.hjagency.co.uk (the "Website") and our software platform Orbix accessible at planner.hjagency.co.uk (the "Platform"), collectively referred to as the "Services". By accessing or using our Services you agree to be bound by these Terms. If you do not agree to these Terms please do not use our Services. Hampshire Jeffreys is a company registered in England and Wales, headquartered at MissionWorks, 41 Iffley Road, London W6 0PB.
2. Description of Services
Hampshire Jeffreys is a marketing agency specialising in luxury property and hospitality. Our Services include: Marketing consultancy and campaign management Content creation and creative production Paid media management and audience intelligence CRM strategy and commercial intelligence Orbix, our proprietary social media planning and approval platform for agency clients Orbix enables agencies and their clients to plan, preview, approve and manage social media content across multiple platforms including Instagram, Facebook, LinkedIn, X and TikTok.
3. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use our Services. By using our Services you represent that you meet these eligibility requirements. If you are using our Services on behalf of a business or organisation you represent that you have the authority to bind that entity to these Terms.
4. User Accounts
To access the Orbix Platform you must create an account or accept an invitation from an existing user. You are responsible for: Providing accurate and complete registration information Maintaining the confidentiality of your account credentials All activities that occur under your account Notifying us immediately of any unauthorised use of your account We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.
5. Acceptable Use
You agree not to use our Services to: Violate any applicable laws or regulations Infringe the intellectual property rights of others Upload or share content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene or otherwise objectionable Impersonate any person or entity or misrepresent your affiliation with any person or entity Interfere with or disrupt the Services or servers or networks connected to the Services Attempt to gain unauthorised access to any part of the Services Use automated systems including bots or scrapers to access the Services Reverse engineer decompile or attempt to extract the source code of the Platform Use the Services to send spam or unsolicited communications Upload viruses malware or any other malicious code.
6. Content and Intellectual Property
Your Content: You retain ownership of all content you upload to the Platform ("User Content"). By uploading User Content you grant Hampshire Jeffreys a worldwide non-exclusive royalty-free licence to store, display, reproduce and process your User Content solely for the purpose of providing the Services to you and your workspace members. Our Content: All content on the Website and Platform including but not limited to text, graphics, logos, icons, images, software, our Growth Loops™ methodology, and the Orbix platform itself is the property of Hampshire Jeffreys or our licensors and is protected by copyright, trademark and other intellectual property laws. Feedback: If you provide us with feedback or suggestions about the Services you grant us the right to use such feedback without restriction or compensation.
7. Third-Party Integrations
The Platform integrates with third-party services including but not limited to: Meta Platforms (Facebook, Instagram) via the Meta Graph API Cloudflare R2 for media storage Neon PostgreSQL for database services Clerk for authentication services Resend for email delivery Vercel for application hosting Your use of these third-party services is subject to their respective terms of service and privacy policies. Hampshire Jeffreys is not responsible for the acts, omissions or content of these third-party services. When you connect a social media account (such as Instagram or Facebook) to the Platform you authorise us to access and use data from that account as necessary to provide the Services. You may disconnect these integrations at any time via the Platform settings.
8. Data Protection and Privacy
Our collection and use of personal data is governed by our Privacy Policy available at https://www.hjagency.co.uk/our-privacy-policy-1 which forms part of these Terms. We comply with the UK General Data Protection Regulation and the Data Protection Act 2018.
9. Payment Terms
Orbix is currently provided as part of Hampshire Jeffreys' agency service packages to marketing clients. Access to the Platform is included in paid retainer agreements between Hampshire Jeffreys and its clients. If in future we introduce standalone subscription pricing or paid features these will be governed by additional payment terms provided at the point of purchase. Agency service fees are governed by separate service agreements between Hampshire Jeffreys and each client.
10. Service Availability
We strive to provide reliable access to our Services but we do not guarantee uninterrupted access. The Services may be unavailable due to: Scheduled or emergency maintenance Third-party service outages Force majeure events Technical issues beyond our reasonable control We are not liable for any losses arising from Service unavailability.
11. Termination
Either party may terminate access to the Platform at any time. Upon termination: Your right to access the Platform will cease immediately We will retain your data in accordance with our Privacy Policy Content you have uploaded may be deleted after a reasonable period Sections of these Terms that by their nature should survive termination will remain in effect We may suspend or terminate your access without notice if you materially breach these Terms or engage in conduct that we reasonably believe could harm us or other users.
12. Disclaimers
To the maximum extent permitted by law our Services are provided "as is" and "as available" without warranties of any kind either express or implied including but not limited to warranties of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that: The Services will be uninterrupted, secure or error-free Any information obtained through the Services will be accurate or reliable Defects in the Services will be corrected The Services will meet your specific requirements
13. Limitation of Liability
To the maximum extent permitted by law Hampshire Jeffreys shall not be liable for any indirect, incidental, special, consequential or punitive damages including but not limited to loss of profits, data, use, goodwill or other intangible losses arising from your use of the Services. Our total liability to you for all claims arising from or relating to the Services shall not exceed the amount you have paid to Hampshire Jeffreys in the twelve months preceding the claim or £100 whichever is greater. Nothing in these Terms excludes or limits our liability for: Death or personal injury caused by our negligence Fraud or fraudulent misrepresentation Any liability that cannot be excluded or limited under English law
14. Indemnification
You agree to indemnify and hold harmless Hampshire Jeffreys, its officers, directors, employees, agents and affiliates from and against any claims, liabilities, damages, losses and expenses including reasonable legal fees arising from: Your use of the Services Your violation of these Terms Your violation of any rights of another party Your User Content
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes we will notify you by: Updating the "Last updated" date at the top of these Terms Posting a notice on the Platform or Website Sending you an email if you have an account with us Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms together with our Privacy Policy and Cookie Policy constitute the entire agreement between you and Hampshire Jeffreys regarding your use of the Services and supersede all prior agreements and understandings.
